Proactive Investors operates a B2B news distribution model. We may have arm's-length commercial relationships with companies whose securities or activities are covered on the Site. Under these arrangements, client companies engage Proactive to distribute their news through our newswire platform. These are news distribution and media services agreements. They are not arrangements under which Proactive agrees to produce positive, promotional, or favourable editorial coverage.
All commercial contracts with client companies include express provisions requiring that editorial content is produced independently, neutrally, and in accordance with our Editorial Standards Policy. Client status confers no editorial rights, approval, veto, or influence over the content we produce.
4.2 Remuneration Disclosure
In the interest of transparency, Proactive makes the following disclosure:
Remuneration disclosure: The Company, its related bodies corporate, or their affiliates may receive cash consideration and, in some cases, equity consideration from companies whose news is distributed through our platform. This consideration is for news distribution and media services, not for editorial content or coverage decisions. The Company does not receive consideration contingent on trading volume generated by its content, on reader investment decisions, or on the completion of any transaction in securities. To the fullest extent permitted by law, you agree to indemnify, defend, and hold the Company, our officers, directors, related bodies corporate, employees, contractors, agents, and representatives harmless from and against any and all claims, damages, losses, costs (including reasonable legal fees), and other expenses that arise directly or indirectly from:
- Your breach of these Terms and Conditions
- Your unauthorised use of the Site or the Content
- Any Submissions or contributions made by you to or on the Site
21. Morningstar Data
Certain equity and regulatory news data on the Site is provided by Morningstar. This data: (i) may not be copied or distributed beyond incidental personal use; (ii) is not warranted to be accurate, complete, or timely; and (iii) is used by you at your own risk. You agree that Morningstar and the Company are not responsible for any damages or losses arising from use of this data, and that it must not be relied upon without appropriate permission from the Company and Morningstar.
Please be aware that: (i) Section 3 (Not Financial Advice) applies equally to the Morningstar information and data; (ii) the Morningstar information and data should not form the sole basis of any investment decision; (iii) no investment decision should be made in relation to it without obtaining advice from a professional financial adviser; (iv) past performance is no guarantee of future results; and (v) the value and income derived from investments can go down as well as up.
"Data: Morningstar" attribution is displayed adjacent to all data visualisations, price feeds, and charts powered by Morningstar data throughout the Site.
22. Governing Law & Jurisdiction
These Terms and Conditions are governed by and will be construed according to the laws of New South Wales, Australia. By using the Site, you submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia, and the courts competent to hear appeals from them.
