(a newly incorporated entity wholly-owned by Asterion Industrial Infra Fund I, FCR)

PUBLICATION OF THE SCHEME DOCUMENT

On 29 November 2019, the boards of AMP Clean Energy and BidCo announced that they had reached agreement on the terms of a recommended cash offer under which BidCo would acquire the entire issued and to be issued ordinary share capital of AMP Clean Energy. The Acquisition is to be implemented by means of a scheme of arrangement under Part 26 of the Companies Act 2006 which requires the approval of the eligible Scheme Shareholders and the sanction of the Court (the "Scheme").

Publication and posting of the Scheme Document

AMP Clean Energy and BidCo are pleased to announce that the Scheme Document containing, amongst other things, a letter from the Chairman of AMP Clean Energy, the full terms and conditions of the Acquisition, an explanatory statement, notices convening the Court and General Meetings and details of the actions to be taken by AMP Clean Energy Shareholders (the "Scheme Document"), together with the related Forms of Proxy, is being published today and will shortly be posted to AMP Clean Energy Shareholders. Copies of the Scheme Document will also be sent, or made available, to holders of AMP Clean Energy Share Options and/or Deferred Consideration Rights and persons with information rights. 

A copy of the Scheme Document will be made available on AMP Clean Energy's website at https://www.ampcleanenergy.com/investors/recommended-cash-acquisition-for-amp-clean-energy  and Bidco's website at https://www.asterionindustrial.com/offer/ and will also be submitted to the National Storage Mechanism and available for inspection at http://www.morningstar.co.uk/uk/NSM.

The AMP Clean Energy Directors, who have been so advised by Evercore as to the financial terms of the Acquisition, consider the terms of the Acquisition to be fair and reasonable, and in the best interests of AMP Clean Energy Shareholders as a whole. In providing advice to the AMP Clean Energy Directors, Evercore has taken into account the commercial assessments of the AMP Clean Energy Directors. Evercore is providing independent financial advice to the AMP Clean Energy Directors for the purposes of Rule 3 of the Takeover Code.

The AMP Clean Energy Directors (other than Neil Eckert in respect of the IncubEx Resolution in relation to which he is regarded as not being independent) recommend unanimously that AMP Clean Energy Shareholders vote in favour of the Scheme at the Court Meeting, in favour of the Special Resolution and in favour of the IncubEx Resolution to be proposed at the General Meeting.

Action required

As described in the Scheme Document, the implementation of the Scheme is subject to satisfaction (or, where applicable, waiver) of the Conditions. To become effective, the Scheme is conditional upon:

i)          its approval by a majority in number of the Independent AMP Clean Energy Shareholders present, entitled to vote and voting at the Court Meeting, or at any adjournment thereof, either in person or by proxy, representing not less than 75 per cent. in value of the AMP Clean Energy Shares held by such holders;

 

ii)          all resolutions required to approve and implement the Scheme (including, without limitation, to amend AMP Clean Energy's articles of association) being duly passed by the requisite majority of the AMP Clean Energy Shareholders at the General Meeting, or at any adjournment thereof;

 

iii)         the IncubEx Resolution to approve the IncubEx Sale being duly passed by the requisite majority of the Independent AMP Clean Energy Shareholders at the General Meeting, or at any adjournment thereof;

 

iv)         the sanction of the Scheme by the Court (with or without modifications, on terms reasonably acceptable to AMP Clean Energy and BidCo); and

 

v)          a copy of the Court Order being delivered for registration to the Registrar of Companies.

The Court Meeting is scheduled to be held at 10.30 a.m. (London time) on 8 January 2020 and the General Meeting is scheduled to be held at 10.40 a.m. (London time) (or as soon thereafter as the Court Meeting shall have been concluded or adjourned) on 8 January 2020, in each case at the offices of Travers Smith LLP, 10 Snow Hill, London EC1A 2AL.

It is important that, for the Court Meeting in particular, as many votes as possible are cast so that the Court may be satisfied that there is a fair and reasonable representation of the opinion of Independent AMP Clean Energy Shareholders. Whether or not you intend to attend the meetings in person, you are therefore strongly urged to complete and return both of your Forms of Proxy, or to appoint a proxy through CREST as soon as possible. Doing so will not prevent you from attending, speaking and voting in person at the meetings if you wish and are entitled to do so.

Holders of AMP Clean Energy Shares should carefully read the Scheme Document in its entirety before making a decision with respect to the Scheme.

Timetable

The Scheme Document contains an expected timetable of principal events relating to the Scheme, which is also set out below. Subject to approval at the relevant Meetings, sanction by the  Court and the satisfaction or waiver of the other Conditions set out in the Scheme Document, the Scheme is expected to become Effective in January 2020. 

The following indicative timetable is based on AMP Clean Energy's and BidCo's current expected dates for the implementation of the Scheme and is subject to change.  If any of the dates and/or times in this expected timetable change, the revised dates and/or times will be notified to AMP Clean Energy Shareholders by announcement through a Regulatory Information Service of the London Stock Exchange.

DISCLOSURE REQUIREMENTS OF THE TAKEOVER CODE
Under Rule 8.3(a) of the Takeover Code, any person who is interested in one per cent. or more of any class of relevant securities of an offeree company or of any securities exchange offeror (being any offeror other than an offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the Offer Period and, if later, following the announcement in which any securities exchange offeror is first identified. An Opening Position Disclosure must contain details of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any securities exchange offeror(s). An Opening Position Disclosure by a person to whom Rule 8.3(a) applies must be made by no later than 3.30 p.m. (London time) on the 10th Business Day following the commencement of the Offer Period and, if appropriate, by no later than 3.30 p.m. (London time) on the 10th Business Day following the announcement in which any securities exchange offeror is first identified. Relevant persons who deal in the relevant securities of the offeree company or of a securities exchange offeror prior to the deadline for making an Opening Position Disclosure must instead make a Dealing Disclosure.
 

Under Rule 8.3(b) of the Takeover Code, any person who is, or becomes, interested in one per cent. or more of any class of relevant securities of the offeree company or of any securities exchange offeror must make a Dealing Disclosure if the person deals in any relevant securities of the offeree company or of any securities exchange offeror. A Dealing Disclosure must contain details of the dealing concerned and of the person's interests and short positions in, and rights to subscribe for, any relevant securities of each of (i) the offeree company and (ii) any securities exchange offeror(s), save to the extent that these details have previously been disclosed under Rule 8. A Dealing Disclosure by a person to whom Rule 8.3(b) applies must be made by no later than 3.30 p.m. (London time) on the Business Day following the date of the relevant dealing.
 

If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire or control an interest in relevant securities of an offeree company or a securities exchange offeror, they will be deemed to be a single person for the purpose of Rule 8.3. Opening Position Disclosures must also be made by the offeree company and by any offeror and Dealing Disclosures must also be made by the offeree company, by any offeror and by any persons acting in concert with any of them (see Rules 8.1, 8.2 and 8.4).
 

Details of the offeree and offeror companies in respect of whose relevant securities Opening Position Disclosures and Dealing Disclosures must be made can be found in the Disclosure Table on the Takeover Panel's website at www.thetakeoverpanel.org.uk, including details of the number of relevant securities in issue, when the Offer Period commenced and when any offeror was first identified.
