The company released its annual results today, with chief executive officer Peter Skene highlighting the company’s board had set a mandate to move away from being a producer of low-value, high competition products to “premium and specialty dairy products”.

Skene will speak at the upcoming ASX Small and Mid-Cap Conference in Sydney this Thursday and affirmed the board’s decision in July last year adopted a strategy that had taken into account opportunities and challenges.

Skene wrote in the company’s annual report: “The board … commenced a detailed feasibility of new opportunities while also making hard decisions about curtailing production of low or no-margin commodity products such as conventional white milk for others.”

Earlier this year Skene spoke about Australian Dairy Farms’ plan to convert all its farms to organic within three years.

He told investors in March he expected the process would involve externally sourcing milk to reach targeted volumes ahead of schedule.

Strategy in motion

Today the chief executive used the company’s annual report to highlight the group would become one of the biggest producers of organic milk in Australia.

Skene said: “These changes are truly transformational for the group — both in the production of organic milk and in its utilisation in the production of specialty high value-added products backed by committed distribution of Australia’s largest retail supermarket chain.

“The expected positive cash flow and profitability from these changes and others that are in the negotiation pipeline set the group up to be able to actively pursue its expansion aspirations into the organic infant and toddler formula market and the establishment of powder-drying blending and tinning facilities for domestic and export production.”

Skene reported the company had picked up many new clients in the past 12 months and developed new business opportunities while introducing new product offerings.

He said: “There have been significant head winds in recent times.”

Among the changes coming up is Australian Dairy Farms’ acquisition of a Western Victoria farm, announced to the market yesterday.

The purchase is forecast for October at an undisclosed price, with the 332.97-hectare Yaringa farm at Nirranda South on the Bass Strait being a cornerstone to the company’s go-organic plan.

Australian Dairy Farms reported the acquisition would make it the biggest producer of organic milk in the country, once its other farms went organic.

The Brisbane-registered company has a processing facility in Camperdown in Victoria.

Australian Dairy Farms’ farm grab is the second acquisition it announced this week, with the first being a snap-up of Sydney infant formula company Flahey’s Nutritionals.

If approved by shareholders, the formula company acquisition will also sweep Flahey’s managing director Chris Flahey into the Australian Dairy Farms fold.

Flahey will become the company’s inaugural sales and marketing director, charged with fully-branding the business.

Transition period results

Australian Dairy Farms reduced its annual revenues by $4.1 million or 21% to $19.5 million last financial year.

The net loss for the 2017-18 financial year was increased over the 2016-17 period by $2 million to $4.2 million.

Australian Dairy Farms asset backing per security slipped 1.3 cents or 17.1% to 9.8 cents.

Focused on achieving best price for surplus milk

AHF Group’s CEO Peter Skene said: “Since day one we have been evaluating options to use our own farm milk for Camperdown Dairy products in an effective and cost-efficient way, while also ensuring we achieve the best price for any surplus milk.

“With the cooperation of our milk supply partners we have achieved this target.”

Vertically integrated dairy company

AHF is a vertically integrated dairy producer that owns and operates four dairies on six properties totalling 1,330 hectares.

The dairy farms carry about 3660 livestock, which includes 2,347 milkers producing an estimated 17.8 million litres annually.

In April 2016, AHF completed the acquisition of the Camperdown Dairy processing plant including packaging facilities produces.

It distributes milk, butter and yoghurt to Victorian Woolworths, Coles and IGA supermarkets with the range of products home delivered across Australia.

ACM will commence a new supply solution from February 2017 whereby ACM will transport, test, deliver and administer the supply of AHF’s farm milk through to the Camperdown factory.

AHF had completed the acquisition of Camperdown Dairy Company Pty Ltd in April 2016.

Since the acquisition of Camperdown, AHF has been evaluating options to use their own farm milk in an effective and cost efficient way, while ensuring the best price for any surplus milk.

The new arrangement with ACM delivers the group’s aim of achieving vertical integration on a cost effective basis.

The agreement will ensure supply segregation, utilising Camperdown’s flexible milk segregation capabilities to separately process AHF’s own farm milk and other brands.

The supply arrangement with ACM is up to 30 June 2017.

AHF’s shares were last trading at $0.18, up 2.86% intraday.

AHF is Australia's first ASX-listed dairy farmer and owns and operates four dairies on six properties.

In April 2016, AHF acquired Camperdown Dairy Company Pty Ltd turning AHF into a vertically integrated milk producer, processors and product distributor in Australia and for export.

The CDC processing plant produces and distributes milk, butter and yoghurt to Victorian Woolworths, Coles and IGA Supermarkets, with the range of products home delivered across Australia.

The joint investment proposal between AHF and Australian Lian is subject to final feasibility sign off by AHF.

The project has the opportunity to position AHF as one of very few milk processors in Australia capable of producing and exporting the high quality fresh milk required for export.

The joint investment entity is proposed to be held 40% by AHF and 60% by Australian Lian.

At the end of the September quarter, the company had cash of $1.8 million.

During the September quarter, AHF achieved sales of $4.84 million.

Stock in Australian Dairy Farms was last trading at A$0.305, or more than double is value only three weeks ago.

This surge has coincided with a string of news related to increased Chinese activity in Australian dairy, including some $10 million in local investments by Green Lake, a China-backed business aimed at exporting fresh milk. 

Since Australian Dairy Farms announced a move to acquire Camperdown Dairy Company in late December, the number of registered security holders in the company has increased from around 1,400 prior to the announcement of the acquisition to about 4,400.

This provides the group with a significant retail base to complement the solid institutional support it already enjoys.

Funds raised from the exercise of options will be used to further strengthen the company’s balance sheet as it moves towards completion of the Camperdown acquisition and for general working capital purposes.

A further 18.6 million options equating to about $4.6 million remain outstanding for exercise prior to the end of March.

Acquisition of Camperdown will make Australian Dairy Farms the country’s first listed vertically integrated farmer, processor and exporter of dairy and fresh milk.

The Target Farms named Brucknell 4, Elingamite and Nirranda are located in close proximity to AHF’s existing farms, in Southwest Victoria.

The exercise of the options remain subject to AHF signing off on advanced due diligence and successful completion of a $17.7 million capital raising.

The acquisition is transformational, with annual milk production expected to double from 10 million litres per annum to over 20 million litres per annum, making it one of the largest milk producers by volume in Southwest Victoria.

This will result in significant economies of scale, thus reducing production costs and increasing profit margins.

The purchase price includes land and improvements, plus livestock, and the acquisition expected to be 25% EPS accretive at current milk prices.

The capital raising comprises a $15.7 million conditional placement, and a $2 million share purchase plan, priced at $0.20.

The Group intends to begin paying dividends and distributions in FY16; tax assessable income earned by the Australian Dairy Farms Trust must be distributed to security holders to limit adverse tax consequences.

The funds were raised through the issue of 12 million securities priced at $0.25 each, a 13.85% discount to the 15 traded days VWAP.

The Brucknell No.3 Farm adjoins the Group’s existing Brucknell No 2 Farm and is expected to be earnings per share accretive on a full 12 month basis at current milk prices.

It has 139 hectares of land over two separate titles, existing buildings, water licences for stock irrigation as well as existing livestock.

Following the acquisition, the company is targeting annual milk production in excess of 10 million litres from the combined farms.

It is also assessing further acquisitions with a number of other farms in the region at various stages of due diligence.
